These Terms of Service ("Terms") constitute a binding legal agreement between you ("you", "Customer", "Client") and Nexisco Network Inc., a corporation duly incorporated under the laws of Canada with its registered office at 1404, 49A Street NW, Edmonton, Alberta T6L 6H6 ("Nexisco Network", "Company", "we", "our", "us"). Please read these Terms carefully before using our services.
By booking a service, purchasing a membership, or accessing or using the Nexisco Network website at nexisconetwork.ca (the "Site") or any of our services (collectively, the "Services"), you represent that you are at least 18 years of age, have the legal capacity to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.
Nexisco Network Inc. provides computer repair, IT support, virus and malware removal, data recovery, network and Wi-Fi setup, smart home configuration, business managed IT services, and related professional services. All Services are subject to availability and to the specific scope of work agreed in writing or via our online booking system. We reserve the right, in our sole discretion, to refuse, suspend, or terminate any Service request without liability where doing so is reasonable, lawful, or required.
Membership plans are billed in advance for the selected term (6 months, 1 year, 2 years, or 3 years) and are subject to the applicable plan inclusions published on the Site at the time of purchase. Memberships automatically renew at the end of each term at the then-current rate unless cancelled in writing at least seven (7) calendar days prior to the renewal date. All cancellations are governed by our Cancellation Policy, which forms part of these Terms.
Subject to Section 7 (Limitation of Liability), Nexisco Network warrants its workmanship for a period of ninety (90) calendar days from the date of Service completion. If the same fault recurs within this period, we will re-perform the affected Service at no additional labour charge. Replacement parts are covered solely by their respective manufacturer warranties. This warranty does not apply to: (a) damage caused by intervening events (drops, liquid contact, power surges, malware re-infection, force majeure); (b) modifications, repairs, or alterations performed by third parties after our Service; (c) pre-existing conditions outside the documented scope of the original repair; or (d) consumables. EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, ALL OTHER WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT — ARE EXCLUDED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
We handle your personal information in accordance with our Privacy Policy, the federal Personal Information Protection and Electronic Documents Act (PIPEDA), and Alberta's Personal Information Protection Act (PIPA). You acknowledge and agree that you are solely responsible for backing up all data, software, settings, and licenses on any device submitted for Service before delivering it to us. While we use commercially reasonable precautions, Nexisco Network shall not be liable for any loss, alteration, or corruption of data, software, or licenses arising during the course of Service.
To the maximum extent permitted by applicable law, the total aggregate liability of Nexisco Network Inc., its directors, officers, employees, contractors, and affiliates, arising out of or in connection with these Terms or the Services — whether in contract, tort (including negligence), strict liability, or otherwise — shall not exceed the amount actually paid by the Customer for the specific Service giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability. In no event shall Nexisco Network be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including without limitation lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages. The limitations in this Section apply to the fullest extent permitted by law and do not limit liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
You agree to indemnify, defend, and hold harmless Nexisco Network Inc. and its representatives from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your breach of these Terms, (ii) your misuse of the Services, (iii) your violation of any applicable law, or (iv) your infringement of any third-party right.
All content, software, trademarks, logos, and materials provided through the Site or in the course of providing Services remain the exclusive property of Nexisco Network Inc. or its licensors and are protected by Canadian and international intellectual property laws. No license is granted except as expressly set out in our End User License Agreement.
Neither party shall be liable for any delay or failure to perform its obligations (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labour disputes, governmental orders, internet or utility outages, or supply-chain disruptions.
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and shall be construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict-of-law principles. The parties irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Alberta sitting in the Judicial District of Edmonton for the resolution of any dispute arising out of or relating to these Terms or the Services, save that Nexisco Network may seek injunctive or equitable relief in any court of competent jurisdiction.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, Cookie Policy, Cancellation Policy, Disclaimer, and EULA, constitute the entire agreement between the parties and supersede all prior or contemporaneous communications.
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the latest revision. Continued use of the Services following any change constitutes your acceptance of the revised Terms. Where changes are material, we will provide reasonable notice via email or a prominent notice on the Site.
