This End User License Agreement ("EULA") is a binding legal agreement between you ("you", "User") and Nexisco Network Inc., a corporation duly incorporated under the laws of Canada with its registered office at 1404, 49A Street NW, Edmonton, Alberta T6L 6H6 ("Nexisco Network", "we", "our", "us"), governing your access to and use of our website at nexisconetwork.ca and any proprietary software, diagnostic utilities, or remote-access tools we make available (collectively, the "Licensed Materials"). By accessing or using the Licensed Materials you agree to be bound by this EULA.
Subject to your continued compliance with this EULA, Nexisco Network grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Licensed Materials solely for your personal or internal business use in connection with Services provided by Nexisco Network. No title or ownership in any Licensed Material is transferred under this EULA.
You shall not, and shall not permit any third party to: (a) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any Licensed Materials, except to the extent expressly permitted by applicable law; (b) use the Licensed Materials to obtain unauthorized access to any computer system, network, or data; (c) copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Licensed Materials; (d) remove or alter any proprietary notices; or (e) use the Licensed Materials in violation of any applicable law, regulation, or third-party right.
Remote support sessions are conducted using industry-standard tools (e.g., AnyDesk, TeamViewer, or equivalent). You retain full visual and physical control of your device throughout the session and may terminate the connection at any time. Nexisco Network does not retain persistent remote-access credentials after a session ends and will not access your device outside the scope of the engagement you have authorized.
All right, title, and interest in and to the Licensed Materials, including all related intellectual property rights — including without limitation copyrights, trademarks, trade secrets, and the trade name "Nexisco Network" — are and shall remain the exclusive property of Nexisco Network Inc. or its licensors. All rights not expressly granted to you in this EULA are reserved.
THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXISCO NETWORK DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE.
To the maximum extent permitted by applicable law, in no event shall Nexisco Network Inc. be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or in connection with this EULA or the Licensed Materials, even if advised of the possibility of such damages. Nexisco Network's aggregate liability arising out of this EULA shall not exceed one hundred Canadian dollars (CAD $100).
This EULA is effective until terminated. Nexisco Network may terminate this EULA immediately if you breach any provision. Upon termination, your right to use the Licensed Materials ceases and you must destroy all copies in your possession. Sections 4–6, 8, and 9 survive termination.
This EULA is governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Alberta sitting in the Judicial District of Edmonton.
